These are draft terms for review, not final terms of a currently available trading service. NeonQuanta is the selected brand for this preview. The legal operator, business address, support contact, launch territories, and governing-law provisions must be identified before paid sales begin.
1. Operator, scope, and contract formation
The final order identifies the seller and the selected products, membership period, currency, taxes, device allowance, and billing terms. A contract for paid access is formed only through an authorized live checkout after the required disclosures and affirmative consents. A downloaded proposal, checked preview box, or local stack selection is not a purchase, license, or accepted service agreement.
The proposed offering is licensed software and related installation/licensing support. It does not include trading capital, brokerage, custody, discretionary account management, or individualized investment advice. The eventual operating model remains subject to applicable regulatory review.
2. Eligibility and responsibility
Customers must be at least 18 and legally able to contract, or a higher age if local law requires. An organizational purchaser must have authority to bind the organization. Use must comply with local law, sanctions, export restrictions, and all broker, platform, exchange, data-provider, and prop-firm rules. We may restrict unsupported territories before sales open.
3. Product and bundle scope
A membership covers only the products and releases expressly listed in the order. Core Collection means the 21 named Core engines, as approved and released. It does not promise every future product. Momentum Matrix/MSB, Tessera/future Fish, additional strategy families, custom development, extra seats, and future tools are excluded unless expressly listed.
Marketing names may change while the underlying licensed product identity remains stable. A renamed product is not automatically a new independent strategy. Ember and Ember Array share a signal family. Unreleased concepts cannot be purchased in this preview.
4. Recurring billing and price
Proposed plans renew monthly or annually at the selected amount plus any clearly disclosed applicable taxes unless canceled. Annual amounts are paid upfront. Currency conversion or third-party account fees may apply according to the provider’s terms. Any optional services or additional recurring fees require their own disclosure and consent.
A proposed price increase would apply only to a future renewal after advance notice, normally at least 30 days or a longer period required by law. Customers can cancel before the new charge. Payment handling and separate Stripe services are governed by the applicable Stripe terms.
5. Cancellation, refunds, and statutory rights
Use your Stripe membership controls to stop future renewal. Cancellation ordinarily preserves access to the end of the paid period and does not prorate or refund it. The all-sales-final policy applies subject to mandatory law, valid consumer rights, non-delivery or defect remedies, and applicable platform policies. Nothing in these terms waives a non-waivable right.
6. License, updates, and requirements
The Software License defines authorized use. You supply suitable hardware, supported platform versions, properly licensed market data, broker/simulator accounts, and monitoring. Final compatibility details must be shown before purchase.
Updates and support within the purchased product are intended during active membership. Material trading-behavior changes must be identified in release notes; a customer should test updates in simulation before deploying them. No unattended trading update or indefinite support commitment is promised by this preview.
7. Accounts and acceptable use
Keep login and license credentials private. Do not share subscriptions, redistribute protected packages, resell access without permission, tamper with billing records, submit malicious content, or use the service unlawfully. Restrictions on reverse engineering apply only to the extent permitted by applicable law; mandatory interoperability and other statutory exceptions are preserved.
A documented material breach, fraud, or security threat can justify proportionate access restrictions under the final terms and applicable law. Ordinary billing expiry should stop new risk-increasing activity while preserving local position management. It must not be implemented as a punitive interruption of protective orders.
8. Intellectual property and third parties
Purchasing access transfers no ownership of the software, brand, documentation, or underlying rights. The operator must complete source, dependency, and commercialization-rights review before launch. NinjaTrader, Stripe, market-data providers, and brokers are independent parties; their names indicate intended compatibility or payment handling, not endorsement or partnership.
9. Trading risk and warranties
Read the Risk Disclosure. No trading result, evaluation pass, funded-account acceptance, payout, uninterrupted signal stream, or perfect software operation is guaranteed. To the extent permitted by law, the software is supplied with the limitations stated in the final order and license. This does not exclude mandatory warranties, conformity requirements, fraud remedies, or a specific written commitment made in the final offer.
10. Liability
Subject to applicable law and final legal review, the proposed commercial allocation excludes indirect or consequential losses and limits ordinary contractual liability to fees paid for the affected service during the preceding 12 months. This draft does not limit liability where prohibited, including applicable mandatory consumer rights, fraud, willful misconduct, or other liability that cannot lawfully be excluded. A limitation clause does not excuse non-delivery or unauthorized conduct.
11. Disputes and changes
First contact the seller through the relevant NeonQuanta billing record so the issue can be reviewed. Legal proceedings, statutory remedies, and applicable platform dispute processes remain available according to their terms. The final operator and supported territories will determine any lawful governing-law and venue provisions. This draft imposes no seller-specific mandatory arbitration or class-action waiver.
Material term changes must be communicated before they affect future transactions. They cannot retroactively remove accrued rights. If a clause is unenforceable, the remainder operates only to the extent lawful.
12. Contact and launch status
Seller identity, a functioning support address/channel, business address, and any required registration and tax disclosures are launch requirements. They have not been invented for this preview. No customer should be charged while these details or product availability remain unresolved.
